ScoutIQ AI – Terms of Service

Welcome to ScoutIQ AI and its associated websites, software applications, APIs, dashboards, integrations, notifications, and related services (collectively, the "Services").

These Terms of Service ("Terms") are a legally binding agreement between you and ScoutIQ AI, Inc. and its affiliates ("ScoutIQ," "we," "us," or "our"). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Services.

1. Description of Services

ScoutIQ provides software and artificial intelligence–powered tools to organizations, including healthcare providers, payers, and related entities (each, a "Customer" or "Provider"), to analyze, process, and derive insights from operational, clinical, or business data, including data subject to healthcare regulations.

ScoutIQ does not provide medical advice, diagnosis, or treatment and does not replace professional medical judgment.

2. Eligibility and Authority

You represent and warrant that:

  • You are at least eighteen (18) years old.
  • You have the legal authority to enter into these Terms on behalf of yourself or the entity you represent.
  • Your use of the Services complies with all applicable laws and regulations.

3. HIPAA and Regulated Data

ScoutIQ is designed to operate in environments subject to the Health Insurance Portability and Accountability Act of 1996 ("HIPAA") and related regulations.

Where ScoutIQ acts as a Business Associate under HIPAA:

  • ScoutIQ will enter into a Business Associate Agreement ("BAA") with the applicable Customer.
  • ScoutIQ will only use or disclose Protected Health Information ("PHI") as permitted by the BAA and applicable law.
  • Customers are responsible for ensuring they have all required patient consents and legal authority to provide PHI to ScoutIQ.

ScoutIQ is not responsible for PHI uploaded or processed outside of a HIPAA-compliant configuration or without an executed BAA.

4. User Responsibilities

  • Use the Services only for lawful purposes.
  • Maintain the confidentiality of your login credentials.
  • Ensure the accuracy and legality of any data you upload, transmit, or process through the Services.
  • Not misuse, reverse engineer, scrape, interfere with, or attempt to disrupt the Services or underlying systems.

You are solely responsible for all activity conducted under your account.

5. Data Ownership and Use

Customer Data

Customers retain all rights, title, and interest in their data, including PHI ("Customer Data"). ScoutIQ may process Customer Data solely to provide, maintain, and improve the Services, in accordance with these Terms, the Privacy Policy, and any applicable BAA.

Aggregated and De-Identified Data

ScoutIQ may create and use aggregated, anonymized, or de-identified data derived from Customer Data for analytics, benchmarking, product improvement, and research purposes, provided such data does not identify any individual and complies with applicable law.

6. Fees and Payment

Certain Services may require payment. Fees and billing terms will be specified in a separate written agreement. Failure to pay may result in suspension or termination.

7. Intellectual Property

ScoutIQ retains all rights, title, and interest in and to the Services and all related intellectual property. These Terms grant you a limited, revocable license to use the Services as permitted.

8. Confidentiality

Each party agrees to protect the other party's confidential information using reasonable safeguards and to use it solely for purposes related to the Services.

9. Third-Party Services

The Services may integrate with third-party services. ScoutIQ is not responsible for third-party content, availability, or data practices.

10. Security

ScoutIQ uses commercially reasonable safeguards to protect data, but no system is completely secure and absolute security is not guaranteed.

11. Termination

ScoutIQ may suspend or terminate access for violations of these Terms, non-payment, legal requirements, or to protect system integrity.

12. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SCOUTIQ SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

14. Indemnification

You agree to indemnify and hold harmless ScoutIQ from claims arising from your use of the Services or violation of applicable laws.

15. Changes to These Terms

ScoutIQ may update these Terms from time to time. Continued use constitutes acceptance of the updated Terms.

16. Governing Law

These Terms are governed by the laws of [Insert Jurisdiction], without regard to conflict-of-law principles.
